Auto Truck Wholesales, LLC dba Auto-Space.com attempts to make its customer’s buying experience as convenient and easy as possible. We have procedures and forms that allow us to accomplish that. We use many forms and procedures which are standard in the industry. The following is a summary of how we structure our transactions.

Initiation of Relationship: You have initiated a transaction or potential transaction with Auto-Space.com by contacting Us by telephone or email at our offices at 4307 Factoria Blvd SE, Suite 2, Bellevue, Washington, USA. Auto-Space.com did not directly solicit You, but only generally marketed itself to the general public thru its website at: Auto-Space.com

Jurisdiction and Venue: Auto-Space.com's only place of business is at its Bellevue, Washington address. Any contract and all negotiations and other communication entered into between Auto-Space.com and You (collectively referred to as "Our Relationship") shall be deemed to take place in Bellevue, WA. Our Relationship shall be governed by and construed in accordance with the laws of the State of Washington, without giving effect to any choice of law or conflict of law provision or rule that would cause the application of the laws of any jurisdiction other than the State of Washington. Venue for any action between the parties shall be in Seattle, Washington.

Dispute Resolution: While we do not foresee any dispute arising between us, in the event of any dispute, except as otherwise required by law, Auto-Space.com and You shall attempt to resolve any dispute as to the interpretation or enforcement of any part of Our Relationship first by mediation. The Parties shall make all reasonable efforts to select a mutually agreeable mediator. If the Parties are unable to agree upon a mediator, then Judicial Arbitration and Mediation Services (JAMS) in Seattle, Washington shall select a mediator. No arbitration may proceed to resolve a dispute until after the mediator determines that the Parties have reached an impasse and that further mediation would not likely result in success. Each Party shall pay its attorneys' fees and costs for the mediation and one-half of the mediator's fees and costs, provided however that Auto-Space.com may elect to advance the mediator's fees and costs on behalf of the Customer. Any mediation or arbitration shall be held in Seattle, Washington, except as otherwise required by law.

If mediation reaches such an impasse, said dispute shall be determined by binding arbitration in accordance with the laws of the State of Washington. The arbitrator shall be mutually agreed to by the Parties. Any mediator or arbitrator must be independent, and shall have no prior business or personal relationship with any of the Parties or their Affiliates and no prior business or personal relationship with the attorneys, accountants or other professional advisors of any of the Parties or their Affiliates of such nature as to cause actual bias or a reasonable appearance of bias.

Principal, Not Agent: You are warranting and representing to Auto-Space.com that you will be negotiating for the purchase of a motor vehicle from Auto-Space.com on your own account, and not as an agent or contractor for another individual or company, whether private, public, or governmental, and that any contract signed by You is similarly for your own use and benefit, and not as an agent or contractor for another individual or company, whether private, public, or governmental. Breach of this warranty and representation renders any contract between You and Us voidable upon demand of Auto-Space.com.
